TeamStems: the online platform available at teamstems.com, operated by Spring Morning Software ("we", "us" or "the provider").
User: any natural person who creates an account or uses the platform.
Project owner: the user who creates and manages a project, for example a remix project.
Participant: a user who gains access to a project through an invitation and submits work within it.
Creator access: the permission to create your own projects on the platform, granted per account by the provider.
Stems: individual audio tracks of a musical work uploaded by the project owner.
These terms apply to every use of TeamStems and to all agreements between the provider and the user. By creating an account or using the platform, you agree to these terms.
TeamStems is currently offered as a beta service. Features, limits and retention periods may change during the beta, and we do not guarantee a fixed level of availability. We will inform active users in advance of changes that materially affect them.
Deviations from these terms are only valid if we have accepted them expressly and in writing.
There is no public registration. An account can only be created with a valid project invitation or a valid platform invitation. Invitations have an expiry date, can be limited in the number of times they may be used, and can be withdrawn by the issuer before they are used.
A platform invitation only allows you to create an account; it does not give access to any project. A project invitation gives access to that one project only, after the project owner has approved you and you have accepted the project conditions.
You are responsible for keeping your login details confidential and for everything that happens under your account. You warrant that the information you provide is accurate and complete. If we suspect misuse of an account, we may suspend or terminate access.
Creating projects requires creator access. You can request it from within your account; the provider decides whether to grant it and may refuse, limit or withdraw it, for example in case of misuse or of limited beta capacity. Creator access is a permission tied to your account and is not transferable.
During the beta, creator access is free of charge. We may in future link it to a paid plan; existing users will be informed before any such change takes effect.
Accounts with creator access are subject to limits on the number of simultaneously active projects and on storage: a total storage allowance per account, a maximum per project and a maximum per uploaded file. The limits that apply to your account are shown in the platform and can be adjusted by the provider per account.
When you approach your storage limit we warn you; once the limit is reached, new uploads are refused until space is freed. Existing files and projects remain accessible.
TeamStems allows project owners to share stems and other source files with invited participants, and allows participants to create and submit new versions within the conditions set for that project.

We check uploaded files and archives automatically for file type and content, and may refuse or remove files that do not comply with these rules.
Every project carries its own conditions, drawn up by the project owner and shown before you join. Those conditions are an agreement between the project owner and the participants, and remain visible within the project. If the owner changes them materially, participants are asked to accept the new version before continuing.
TeamStems is not a party to those project conditions and does not mediate in disputes about them.
Rights in uploaded stems and submitted works remain with their respective rights holders. By uploading material you grant the provider only a limited, non-exclusive licence to store that material and make it available within the relevant project, for the duration of that project.
The relationship between project owner and participants regarding the resulting work — such as transfer or licensing of rights — is governed by the project conditions attached to that project.
You indemnify the provider against third-party claims relating to material you upload or distribute.
Projects and files are not stored indefinitely. During the beta the following periods apply to projects of users without an administrator role:
We notify the project owner well before final deletion (around 30 days and 7 days in advance). Participants and owners are themselves responsible for keeping their own copies of material they wish to retain.
We send in-app notifications and emails about events in your projects, such as invitations, access requests, new submissions and approaching deadlines. In your profile you can switch off email for project activity and for reminders; messages that are necessary for your account, such as confirming your email address, are always sent.
We make reasonable efforts to keep the platform available and secure, but we do not guarantee uninterrupted operation. We are not liable for indirect damage, consequential loss, lost revenue or data loss, except in cases of intent or deliberate recklessness.
In all cases our liability is limited to direct damage that is the immediate result of an attributable failure.
We process personal data in accordance with our privacy policy.
We may suspend or remove accounts that breach these terms. Project owners can close or archive projects; closed projects no longer accept new participants or submissions. Project owners can also remove a participant from their project.
When an account is terminated, related project data and files may be deleted, unless a legal obligation or an ongoing project requires longer retention.
We may amend these terms. In case of significant changes we will inform active users in advance. The most recent version, together with its version history, is always published on this page.
These terms and the use of TeamStems are governed by Dutch law. Disputes will be submitted exclusively to the competent court in the Netherlands.
