TeamStems: the online platform available at teamstems.com, operated by Spring Morning Software ("we", "us" or "the provider").
User: any natural person who creates an account or uses the platform.
Project owner: the user who creates and manages a project, for example a remix project.
Participant: a user who gains access to a project through an invitation and submits work within it.
Stems: individual audio tracks of a musical work uploaded by the project owner.
These terms apply to every use of TeamStems and to all agreements between the provider and the user. By creating an account or using the platform, you agree to these terms.
Deviations from these terms are only valid if we have accepted them expressly and in writing.
Accounts can only be created through a valid project invitation. You are responsible for keeping your login details confidential and for everything that happens under your account.
You warrant that the information you provide is accurate and complete. If we suspect misuse of an account, we may suspend or terminate access.
TeamStems allows project owners to share stems and other source files with invited participants, and allows participants to create and submit new versions within the conditions set for that project.
You may not:
Rights in uploaded stems and submitted works remain with their respective rights holders. By uploading material you grant the provider only a limited, non-exclusive licence to store that material and make it available within the relevant project, for the duration of that project.
The relationship between project owner and participants regarding the resulting work — such as transfer or licensing of rights — is governed by the project agreement attached to that project. TeamStems is not a party to those arrangements and does not mediate in disputes about them.
You indemnify the provider against third-party claims relating to material you upload or distribute.
We make reasonable efforts to keep the platform available and secure, but we do not guarantee uninterrupted operation. We are not liable for indirect damage, consequential loss, lost revenue or data loss, except in cases of intent or deliberate recklessness.
In all cases our liability is limited to direct damage that is the immediate result of an attributable failure.
We process personal data in accordance with our privacy policy. By using the platform you consent to that processing.
We may suspend or remove accounts that breach these terms. Project owners can close or archive projects; closed projects no longer accept new participants or submissions.
When an account is terminated, related project data and files may be deleted, unless a legal obligation or an ongoing project requires longer retention.
We may amend these terms. In case of significant changes we will inform active users in advance. The most recent version is always published on this page.
These terms and the use of TeamStems are governed by Dutch law. Disputes will be submitted exclusively to the competent court in the Netherlands.
